This fee covers the real work that happens before your first lead ever arrives. We are building a custom intelligence configuration for your company — not flipping a switch on a generic platform. The activation fee funds that build.
You do not pay a single dollar of the monthly retainer until we deliver your first qualified opportunity. We eat the operational cost of running your territory pipeline until that moment. When it arrives, your monthly service begins automatically at the rate you agreed to at activation.
What triggers the monthly fee: Delivery of one qualified opportunity meeting the criteria in the definition below. From that point, billing runs monthly. No secondary decision, no second sales call — you agreed to the monthly rate at activation and delivery starts the clock.
Definition of a Qualified Opportunity: A construction project identified within your designated territory, with a verified decision-maker contact at the general contractor or owner level, a predicted equipment demand window opening within 45 days of delivery, an estimated project value of $1M or above, and at least one equipment requirement confirmed against your loaded fleet inventory. CraneGenius determines qualification based on intelligence output. The client's inability to close the opportunity does not affect its qualification status.
If we do not deliver a qualified opportunity within 30 days of completing your system build, your activation fee is credited in full toward your first month of service. We do not get to charge you for a month we didn't earn.

This agreement is between CraneGenius, a product of Dark 30 Ventures ("CraneGenius," "we," "us"), and the business or individual completing activation ("Client," "you"). By paying the activation fee, you agree to these terms in full.
The $2,500 activation fee is non-refundable under all circumstances. This fee compensates CraneGenius for the work performed to build, configure, and calibrate a custom intelligence system specific to the Client's fleet inventory, territory, and target customer profile. This work begins immediately upon receipt of payment and cannot be undone. No refund will be issued regardless of whether the Client provides their fleet inventory, completes onboarding, or ultimately uses the service.
Client agrees to provide a complete and accurate fleet inventory — including make, model, rated capacity, boom configuration, and availability status for all units — within 5 business days of activation. Failure to provide inventory within this window may delay system build and the delivery of the first qualified opportunity. CraneGenius is not liable for delays caused by late or incomplete inventory submission. The 30-day qualified lead guarantee clock does not begin until inventory is received.
The monthly retainer of $5,000 per month does not begin until CraneGenius delivers the Client's first qualified opportunity as defined in Section 5. Upon delivery of the first qualified opportunity, the monthly retainer begins automatically. No additional agreement or authorization is required — Client's acceptance of the first qualified opportunity constitutes confirmation that monthly billing has triggered. Monthly billing continues until terminated per Section 7.
A "Qualified Opportunity" means a construction project meeting all of the following criteria at the time of delivery: (a) located within the Client's designated territory as configured at setup; (b) includes a verified decision-maker contact at the general contractor or owner level, confirmed deliverable by CraneGenius's verification process; (c) has a predicted equipment demand window opening within 45 days of delivery date; (d) has an estimated project value of $1,000,000 or greater; and (e) includes at least one equipment requirement that matches a unit in the Client's loaded fleet inventory. CraneGenius alone determines whether an opportunity meets this definition. The Client's inability or failure to close, quote, or follow up on a delivered opportunity does not affect its qualification status and does not suspend or reverse the monthly billing trigger.
CraneGenius will deliver the Client's first qualified opportunity within 30 calendar days of completing the system build. The system build is considered complete when CraneGenius confirms receipt and processing of the Client's fleet inventory. If no qualified opportunity is delivered within 30 days of system build completion, the $2,500 activation fee will be applied as a credit toward the Client's first month of service. This credit is the sole remedy available and does not constitute a refund of the activation fee.
Upon triggering of the monthly retainer, Client agrees to a 90-day minimum commitment from the date of first qualified opportunity delivery. After 90 days, either party may terminate with 30 days written notice sent to the contact email on file. CraneGenius may terminate immediately if Client fails to pay any monthly invoice within 10 business days of due date, or if Client materially breaches these terms. No partial-month refunds are issued.
Exclusive territory rights are available only for Tier Two. Tier Two is the partnership level that includes closing execution (CraneGenius-supported pursuit, deal execution, and close assistance as described in the Client's Tier Two order, checkout, or statement of work) in addition to intelligence delivery. Clients who are not on Tier Two do not receive exclusive territory rights; CraneGenius may onboard or serve other crane rental companies in the same or overlapping geographic markets. When Client maintains an active Tier Two retainer in good standing, CraneGenius will not onboard a second crane rental company for the same designated territory. Market exclusivity for Tier Two expires immediately upon termination of Tier Two, downgrade to a non-Tier-Two arrangement, or loss of good standing, for any reason. CraneGenius reserves the right to define territory boundaries and resolve disputes about overlap at its sole discretion.
Client agrees to keep all intelligence output, opportunity data, contact information, system methodology, and pricing confidential. Client will not share, resell, or distribute CraneGenius deliverables to third parties. CraneGenius agrees to keep Client fleet inventory data confidential and will not share it with competing crane companies.
CraneGenius guarantees delivery of qualified opportunities as defined. CraneGenius makes no guarantee of revenue, closed deals, or return on investment. Results depend entirely on Client's sales execution, follow-up speed, pricing competitiveness, and equipment availability. Delivered opportunities represent intelligence and access — not closed business.
CraneGenius's total liability under this agreement is limited to the total fees paid by Client in the 30 days preceding any claim. CraneGenius is not liable for indirect, consequential, incidental, or punitive damages of any kind, including lost profits or lost opportunities.
This agreement is governed by the laws of the State of Washington. Any disputes will be resolved by binding arbitration in King County, Washington.
These terms constitute the entire agreement between the parties and supersede all prior conversations, representations, or understandings. CraneGenius reserves the right to update these terms with 30 days notice to active clients.
